PURCHASER ACKNOWLEDGMENT
By purchasing this Vehicle Service Contract (“Contract”), the Purchaser acknowledges and agrees to all terms, conditions, limitations, definitions, and exclusions set forth in the Contract, including the Application Page, Identification Card, and any applicable endorsements. This Contract represents the entire agreement and is not an insurance policy or manufacturer’s warranty. Coverage is limited to the components listed in Section VI – What is Covered and is subject to the Coverage Period described in Section III.D. The Purchaser is responsible for proper vehicle maintenance as outlined in Section IV and must follow the claim process detailed in Section V in the event of a Breakdown.
This Contract may run concurrently with, but is secondary to, any manufacturer or repair facility warranty or similar protection plan. It is not required for the purchase, lease, or financing of the vehicle.
By completing the purchase, the Purchaser confirms receipt and acceptance of all Contract terms. The provider of this Contract is Auto Guard Protect Inc. For questions or assistance, call (800) 443-1435.
HOW TO READ THIS AGREEMENT
This Vehicle Service Contract (“Contract”) outlines the terms for Covered Repairs to Eligible Components, as well as Additional Benefits. Terms in bold have defined meanings in Section II – Definitions and should be reviewed carefully.
This Contract is not an insurance policy or manufacturer’s warranty and does not cover every repair. It applies only to Covered Repairs as listed in Section VI – What is Covered. Repairs for components that failed or began to fail before the end of the Waiting Period, or due to Wear and Tear, are excluded. See Section VIII – Exclusions for a full list of what is not covered.
Your obligations are detailed in Section IV – Your Responsibilities and include proper maintenance and immediate action to prevent further damage if an issue arises.
Roadside assistance is available 24/7 nationwide, as described in Section VII – Additional Benefits.
Both Purchaser and Administrator may cancel this Contract under the conditions set in Section III.H – Cancellations. Misrepresentation of mileage, vehicle condition, or failure to complete an oil and filter change within 30 days of purchase may result in cancellation.
II. DEFINITIONS
Administrator: Auto Guard Protect Inc. For questions or assistance, call (800) 443-1435.
Application Page: The first page of this Contract containing Purchaser and Vehicle information.
Benefits: Only those listed in Section VII – Additional Benefits.
Breakdown: Failure of an Eligible Component to function as designed, not including Wear and Tear or damage caused by non-Eligible Components.
Cancellation: Termination of this Contract in accordance with Section III.H.
Commercial Use: Includes, but is not limited to, rideshare, delivery, towing, emergency services, or use for business or job-site purposes.
Contract: This Vehicle Service Contract includes all attached documents and endorsements.
Coverage Period: Begins after the Waiting Period and ends when time/mileage limits or the Limit of Liability is reached, whichever comes first.
Coverage: The protection level selected as stated on the Identification Card and Application Page.
Covered Repair: Pre-approved costs for repair/replacement of Eligible Components due to Breakdown after the Waiting Period, excluding Wear and Tear or damage from non-Eligible Components.
Deductible: The out-of-pocket cost per Covered Repair as listed on the Application Page. If no amount is listed, the standard deductible is ${{Deductible}}.
Eligible Component(s): Only those listed in Section VI – What is Covered. All others are excluded.
Expiration Date or Mileage: When this Contract ends—whichever comes first: the listed expiration time/mileage or once the Limit of Liability is reached.
Exclusions: Items listed in Section VIII – Exclusions – What is Not Covered.
Identification Card: The official card summarizing Purchaser, Vehicle, and Coverage details.
Licensed Repair Facility: A recognized, for-profit vehicle repair facility authorized in its operating state.
Limit of Liability: The maximum amount payable under this Contract, as defined in Section III.E.
Exclusions: Items listed in Section VIII – What is Not Covered, and nothing else.
Identification Card: The document summarizing Your Vehicle, selected Coverage, and other key details, and forms part of this Contract.
Licensed Repair Facility: A for-profit business legally recognized to repair vehicles in its state of operation.
Limit of Liability: Our maximum financial responsibility, as defined in Section III.E.
Optional Coverage: Additional coverage selected by You, shown on Your Identification Card and Application Page. See Section VI.D.
Pre-Existing: Any mechanical condition reasonably determined to exist prior to Contract purchase or prior to expiration of the Waiting Period. Failures occurring or beginning during this time are not covered.
Purchase Date and Mileage: The date and mileage recorded at the time you purchased this Contract.
Responsibilities: Your duties under this Contract, listed in Section IV – Your Responsibilities.
Vehicle: The specific vehicle listed on the Application Page.
Verifiable Document: A computer-generated invoice from a Licensed Repair Facility, printed on letterhead, showing Your name, vehicle details, date, mileage, and service performed. Handwritten or altered documents are not accepted.
Waiting Period: The time and mileage threshold listed on the Application Page, starting from the Contract’s Purchase Date. No Coverage is available before this period expires. Failures occurring or beginning during the Waiting Period are not covered.
We, Us, Our: Auto Guard Protect Inc, the Obligor obligated to perform under this Contract. Address: Auto Guard Protect Inc. For questions or assistance, call (800) 443-1435.
You, Your: The Contract Purchaser listed on the Application Page, or properly assigned Contract Holder.
III. SCOPE OF THIS AGREEMENT
This Vehicle Service Contract (“Contract”) is an agreement between You and Auto Guard Protect Inc (“Administrator”). This is not an insurance policy or manufacturer’s warranty and does not cover every potential repair. It applies only to the specific Vehicle listed on the Application Page.
A. PARTIES
This Contract applies solely between You and Auto Guard Protect Inc for the Vehicle listed. No other party or vehicle is covered.
B. PAYMENT OF COVERED REPAIRS
Administrator agrees to pay or reimburse pre-approved Covered Repairs, less any Deductible, per the terms herein. Parts costs will not exceed MSRP, and labor will be based on nationally recognized labor guides. Administrators may use new, remanufactured, or used parts at its sole discretion.
No Coverage applies to repairs made without prior authorization. Repairs performed during or prior to the expiration of the Waiting Period, or if Your Contract payments are past due, are not eligible for reimbursement.
C. ENTIRE AGREEMENT
This Contract (including the Application Page, Identification Card, and any endorsements) constitutes the full and final agreement. No changes are valid unless made in writing and signed by both parties. This Contract may grant You certain rights that vary by state; see Section X for state-specific terms.
Odometer tampering or inoperability that prevents verification of true mileage will void this Contract. If the odometer fails, You must notify Us immediately and provide a Verifiable Document of repair within 15 days.
D. COVERAGE PERIOD
Coverage begins after the Waiting Period has expired and ends at the earliest of: the date or mileage listed on the Application Page, or when the Limit of Liability has been reached. Breakdowns occurring or beginning before the end of the Waiting Period are not covered.
E. LIMIT OF LIABILITY
For Gold or Platinum Coverage: Our total liability for all Covered Repairs and Benefits shall not exceed the NADA or KBB average trade-in value of the Vehicle at the time of the repair.
Once the maximum limit is reached, this Contract—including any rights to transfer or cancel—automatically terminates. We are not liable for any incidental or consequential damages, including but not limited to: personal injury, property damage, loss of use, lost time, wages, inconvenience, or commercial losses arising from the use, condition, or operation of the Vehicle.
F. INELIGIBLE VEHICLES & USES
This Contract does not apply to vehicles with a restricted or branded title at any time, including: salvage, total loss, rebuilt, flood, fire, theft recovery, scrap, parts-only, or those altered in a way that affects performance or title classification.
Coverage is also excluded for vehicles used for towing without a factory tow package, vehicles exceeding manufacturer’s towing limits, or vehicles used for: commercial purposes (unless Commercial Use Coverage is selected and paid), off-road driving, racing, or competitive driving.
G. TRANSFER OF MANUFACTURER’S WARRANTY
You are responsible for transferring the manufacturer’s warranty. Failure to do so may result in denial of claims that would otherwise have been covered.
H. CANCELLATIONS
You may cancel this Contract at any time by submitting a written request, along with a notarized affidavit or Federal Odometer Statement verifying current mileage.
We may cancel this Contract for:
- Non-payment,
- Material misrepresentation,
- Ineligible Vehicle at time of sale or afterward.
Refund Policy:
Full Refund if cancelled within 30 days of purchase and no claims were filed.
Pro-Rata Refund if cancelled after 30 days or if a claim was filed.
If financed, the finance company may cancel this Contract for non-payment, repossession, or if the Vehicle is declared a total loss. Any refund will be issued directly to the finance company.
If You fail to make payments, no claims will be honored until Your balance is current.
I. TRANSFER CONDITIONS
This Contract may be transferred once, by the original Contract Holder, to a private buyer (not a dealer) for a $50 fee. The transfer must be requested within 30 days of sale, including full maintenance records, and proof of manufacturer warranty transfer. Approval is at the sole discretion of Auto Guard Protect Inc.
J. RENEWABILITY
You may request to renew this Contract within 30 days and 1,000 miles of the expiration date. Coverage and Deductibles offered may differ from the original.
K. GUARANTEE
The obligations under this Contract are solely backed and fulfilled by Auto Guard Protect Inc, located at 80 Maiden Ln, Suite 1506, New York, NY 10038.
In the event of a dispute or concern related to a Covered Repair or refund, You must contact Auto Guard Protect Inc directly at (800) 443-1435. All claims must follow the procedures outlined in this Contract and are subject to verification and prior authorization.
IV. YOUR RESPONSIBILITIES
A. ACCURATE INFORMATION
You must provide and maintain accurate information at all times. If false, misleading, or outdated information is discovered, this Contract may be cancelled immediately. If the odometer is tampered with or becomes inoperable, You must notify Us and provide a Verifiable Document showing the odometer was repaired within 15 days. Failure to comply may void this Contract.
B. MAINTENANCE REQUIREMENTS
You must service the Vehicle according to the manufacturer’s recommendations outlined in the Owner’s Manual, based on your driving conditions and climate. Failure to maintain the Vehicle accordingly may result in claim denial.
You must retain Verifiable Documents for all maintenance performed. These must include: Your name, vehicle year, make, model, VIN, service date, mileage, and be printed on the repair facility’s letterhead. Handwritten documents are not accepted. If you perform your own maintenance, keep itemized receipts for materials and supplies.
All documents must be submitted to Auto Guard Protect Inc via email at claims@autoguardprotect.com.
C. DUTY TO COOPERATE
You agree to provide all necessary documents and information requested by Auto Guard Protect Inc during any claims or Contract-related process. Failure to cooperate may be considered a breach of Contract.
V. FILING A BREAKDOWN CLAIM
If your Vehicle experiences a Breakdown:
- Prevent Further Damage: Stop operation immediately to avoid worsening the issue. Damage from continued use is not covered.
- Take Your Vehicle to a Licensed Repair Facility.
- Provide a Copy of Your Contract or Contract Number to the repair facility.
- Obtain Authorization: The facility must call Auto Guard Protect Inc at (800) 443-1435 before starting repairs. Repairs without prior authorization are not covered.
- Tear-Down Authorization: If needed, you must approve inspection/tear-down. If the issue is not covered, you are responsible for these costs. We may require a third-party inspection before approving repair.
- Review Coverage with the service manager to confirm what’s eligible.
- Pay Any Deductible: We reimburse only for authorized Covered Repairs, less your Deductible. Submit all repair documents within 30 days of completion.
Emergency Repairs: If our office is closed and a repair is needed to make the Vehicle safe or drivable, proceed with repairs. You must contact us within 5 business days to determine eligibility.
IMPORTANT: No claims will be paid unless all steps above are followed. For claim assistance, call (800) 443-1435.

VI. WHAT IS COVERED
A. COMPONENT PROTECTION
Auto Guard Protect Inc agrees to pay or reimburse for pre-authorized Covered Repairs, subject to the terms of this Contract and less any Deductible.
Repairs must not exceed MSRP for parts and standard labor time per a national labor time guide. We reserve the right to use OEM parts at our discretion.
Repairs are not covered if:
- The failure occurred before Contract purchase or during the Waiting Period.
- Another warranty or vehicle service agreement applies.
B. AUTHORIZATION AND INSPECTION
All repairs must be pre-authorized by Auto Guard Protect Inc. Unauthorized repairs are not eligible for reimbursement.
If inspection or tear-down is required to diagnose the issue, you must authorize it. If the failure is not covered, You are responsible for inspection costs. We may request a third-party inspection before any repair is approved.
C. ELIGIBLE COMPONENTS
You are covered for the specific Platinum or Gold plan selected on your Identification Card.
VI. WHAT IS COVERED
C. ELIGIBLE COMPONENTS
Your Contract provides Coverage for the component protection plan selected, as indicated on Your Identification Card and Application Page. Only the following plans are offered:
1. GOLD COVERAGE
Includes the following components:
a. ENGINE (Gas/Diesel):
Cylinder Block, Cylinder Head(s), Rotary Housing, and all internally lubricated parts, including Pistons, Rings, Bearings, Crankshaft, Camshaft, Lifters, Rockers, Push Rods, Valves, Guides, Seats, Springs, Water Pump, Oil Pump, Harmonic Balancer, Timing Chain/Belt and related components, Intake & Exhaust Manifolds, Valve Covers, Engine Mounts, Timing Chain Cover, and Oil Pan. (Covers oil pan and valve covers only if damaged by failure of a covered part.)
b. TURBO/SUPERCHARGER (Factory Installed Only):
Housing and all internally lubricated parts. (Housing covered only if damaged by a covered part.)
c. TRANSMISSION (Auto or Manual):
Case, internally lubricated parts, Torque Converter, Flywheel/Flex Plate, Modulator, Shift Control Unit, Cooler, Mounts, Oil Pan, Clutch Cylinders, Pilot & Throw-Out Bearings. (Case covered only if damaged by failure of a covered part.)
d. DRIVE AXLE (Front & Rear):
Case, internal parts, Locking Hubs, Axles, Bearings, CV Joints, U-Joints, Drive Shafts, 4WD Actuator, Differential Cover. (Housing covered only if damaged by failure of a covered part.)
e. TRANSFER UNIT:
Transfer Case and all internal parts. (Case covered only if damaged by failure of a covered part.)
f. BRAKES:
Master Cylinder, Brake Booster, Calipers, Wheel Cylinders, ABS components (including sensors, processors, and valves), Hydraulic Lines and Fittings.
2. PLATINUM COVERAGE
Includes everything in the Gold plan plus the following enhanced component coverage:
g. STEERING:
Steering Gearbox, Rack and Pinion, Power Steering Pump, Column Shafts, Tilt-Wheel Mechanism, Steering Knuckles, Tie Rods, Idler Arm, Pitman Arm, Rear Steering Components, and Power Assist Cylinder.
h. ELECTRICAL COMPONENTS:
Alternator, Starter Motor/Solenoid, Ignition Switch, Window Wiper Motors and Switches, Headlamp & Turn Signal Switches, Engine Wiring Harness, Voltage Regulator, Ignition Module, Crank/Knock Sensors, Stop Lamp Switch, A/C Control Head, Horns, and Trailer Wiring Harness.
i. AIR CONDITIONING:
Compressor, Clutch & Pulley, Condenser, Evaporator, Hoses, Valves, Dryer/Accumulator, Orifice Tube, Switches, Idler Pulley, and Refrigerant. (Covered only if required to complete a repair to a Covered Component.)
j. SEALS & GASKETS (both plans):
Covered only when required in conjunction with a Covered Repair. Minor fluid seepage is considered normal and not covered.
k. Fuel Systems
Fuel Pump, Fuel Injectors, Fuel Injection Pump, Fuel Pressure Regulator, Fuel Rail, Fuel Tank Sending Unit, Fuel Delivery Lines (metal only), Fuel Pressure Sensor, and Fuel Tank (only if damage is caused by a Covered Component failure and not due to external impact, contamination, or corrosion).
D. OPTIONAL COVERAGE
If selected and shown on Your Identification Card and Application Page, the following Optional Coverage applies:
- High Tech Option
- Included with the Platinum Plan; optional with Gold Plan. Covers:
- Backup Camera & Sensors / Perimeter Warning
- Video Systems & Display Screens (excluding minor pixel damage)
- GPS / Navigation Systems
- Blind Spot Sensors
- Electronic Driver Info Displays
- Anti-Theft Systems (excluding remote/key fobs)
- Hybrid battery coverage
Commercial Use Option
If selected at the time of Contract purchase, Coverage applies while the Vehicle is used for approved Commercial Use (see Section II – Definitions). This option cannot be added post-purchase. A surcharge applies. Unauthorized commercial use or misrepresentation may void Coverage.
Lift Kit / Tire Modification Option
If selected, Coverage remains valid for Vehicles with body/suspension lifts (up to 4 inches) or tire modifications (up to 4 inches larger in diameter). Lift kits and aftermarket components are not covered. Any modification voiding the factory warranty will void this Contract. Suspension reductions and undersized wheels/tires are not eligible.
Hybrid Vehicle Option
Included with Platinum; optional with Gold Plan. Covers hybrid-specific components including:
- Electric Drive Motor
- Power Controller
- Inverter Assembly
- Generator(s)
- Electronic A/C Compressor
- Electronic Power Steering Pump
- Hybrid batteries are not covered.
VII. ADDITIONAL BENEFITS
A. Rental Car / Substitute Transportation
If Your Vehicle is undergoing a Covered Repair, We will reimburse up to $30 per day, with a maximum of $150 per repair, for: A rental car from a licensed rental agency, or Alternate public transportation.
Rental coverage ends once the repair is completed and you are notified. Rental expenses must be documented with receipts to qualify for reimbursement.
VII. ADDITIONAL BENEFITS (continued)
B. 24-Hour Roadside Assistance
Emergency Roadside Service: 24-hour Roadside Service is provided when Your Vehicle is disabled, while this Contract is in effect and is available by calling (800) 443-1435. Please provide the dispatcher with Your Contract Number (which is on the top right of Your Contract). Covered services are not obtained through us.
Coverage includes:
Emergency Roadside Assistance: Available 24/7 while this Contract is active. Contact (800) 443-1435 and provide your Contract Number. Services are not administered by Auto Guard Protect Inc.
Mechanical First Aid: Minor mechanical adjustments to get the Vehicle moving (parts excluded).
Tire Change: Replaces flat tire with your provided spare.
Battery Jumpstart
Fuel or Fluid Delivery: Fuel delivered at no cost; you pay for actual fuel.
Towing: Up to 25 miles per disablement.
Lockout Service: Locksmith service if keys are locked inside.
Trip Interruption: If a Covered Repair disables your Vehicle over 100 miles from home, we reimburse up to $100/day for up to 3 days (max $300 total) for meals/lodging, based on required labor hours.
Note: Only one service of any type may be used every 72 hours.
Reimbursement Option: If you use your own provider for roadside service, you may submit original, itemized receipts for reimbursement consideration (limit: $50 per event, $100/day max for Trip Interruption). Mail receipts and a completed claim form to Quest Towing Services at the address above.
VIII. EXCLUSIONS – WHAT IS NOT COVERED
This Contract does not cover the following:
A. Non-Covered Parts
Any part not specifically listed as covered in Section VI or under any applicable Optional Coverage.
B. Maintenance & Wear Items
Includes (but is not limited to): alignments, spark plugs, belts, brake pads, hoses, bulbs, filters, wiper blades, batteries, clutch components, glass, paint, trim, upholstery, tires, wheels, and programming updates. Fluids are only covered when required due to a Covered Repair. OEM radios and electronics are limited to $1,000 per claim.
C. External Damage or Environmental Events
Failures caused by collision, impact, rust, corrosion, overheating, contamination, salt, or environmental/natural events (e.g., flood, fire, lightning, freezing). Overheating-related damage to engine blocks or cylinder heads is excluded.
D. Faulty Repairs or Misdiagnosis
Breakdowns caused by improper repairs, misdiagnosis, or faulty parts.
E. Failure to Maintain
Any Breakdown caused by lack of maintenance, missing or unverifiable maintenance records, or failure to follow the procedures in Sections IV and V.
F. Warranty or Recall Coverage
Failures covered by any manufacturer’s warranty, recall, technical service bulletin, or prior repair warranty. Coverage is excluded even if the provider of such warranty is unable to pay.
G. Pre-Existing Conditions
Any failure that occurred, or began to occur, prior to Contract purchase or expiration of the Waiting Period.
H. Unauthorized Repairs
Repairs made without prior authorization from Auto Guard Protect Inc.
VIII. EXCLUSIONS – WHAT IS NOT COVERED (continued)
This Contract does not provide Coverage for the following:
I. Performance Issues & Improper Fuel Use
No Coverage is provided for repairs made solely to correct oil consumption, compression loss, or reduced performance when no breakdown has occurred. This includes valve grinding, stuck or burnt valves, piston or ring issues, and failures due to improper or contaminated fuel, excessive ethanol content (over 10% if not manufacturer-approved), pre-ignition, detonation, improper lubricants, coolant blockage, or lack of lubrication.
J. Consequential Damages
No Coverage for storage, loss of use, lost income, lost profits, inconvenience, or injury/property damage resulting from a Breakdown.
K. Accidental or Environmental Damage
Damage from collision, vandalism, road hazards, fire, flood, theft, riot, civil unrest, or misuse/abuse is excluded.
L. Corrosion & Rust
Any breakdown caused by corrosion, rust, residue, or electrolysis is excluded. Fastener-related failures (nuts, bolts, etc.) are excluded unless internally lubricated.
M. Restricted Title / Odometer Tampering
No Coverage for vehicles ever declared total loss or with a branded/salvage/restricted title, or if mileage cannot be verified due to odometer failure, tampering, or disconnection.
N. Failure to Protect Vehicle
No Coverage for further damage resulting from failure to prevent additional damage after a Breakdown. This includes ignoring warning lights, leaking fluids, overheating, or continued driving when unsafe.
O. Non-Breakdown Repairs & Obsolete Parts
No Coverage for parts recommended for replacement without failure, or upgrades due to part unavailability or obsolescence. Software updates, wear within factory tolerances, or cosmetic updates are not covered.
P. Commercial Use (Without Coverage Selection)
No Coverage for Commercial Use vehicles unless the Commercial Use Option was selected and surcharge paid at purchase.
Q. Modifications & Unauthorized Alterations
Vehicles with performance modifications or non-manufacturer alterations are excluded unless the Lift/Tire Modification Option was selected at purchase. Lift and tire increases are limited to 4 inches. Any modification voiding the factory warranty voids this Contract.
R. Outside U.S. or Canada
No Coverage for Breakdowns occurring outside the U.S. or Canada.
S. Software/Data Tampering
No Coverage for damage from unauthorized access, hacking, reprogramming, or deletion of data/software.
IX. LEGAL CLAIMS AND DISPUTES
A. Request for Reconsideration (Pre-Litigation)

B. Alternative Dispute Resolution (ADR)
We reserve the right to require that any dispute related to this Contract be resolved through arbitration, mediation, or other alternative method with a recognized third-party organization. If We elect ADR, You will be notified in writing and must suspend any ongoing legal or administrative action to participate in the selected method. All ADR costs will be paid by us.
